These Terms of Service ("Terms") govern your access to and use of ProxChart, a Chrome extension and web service operated by Jacob Denbrock, doing business as ProxChart ("ProxChart," "we," "us," or "our"), located in Davidson County, Tennessee, United States.
By installing the ProxChart extension, redeeming an invite code, or otherwise using the Service, you agree to these Terms. If you do not agree, do not install or use ProxChart.
These Terms include a binding arbitration clause (Section 17) and class-action waiver (Section 17.3) that affect your legal rights. Read Section 17 carefully. You may opt out of arbitration within 30 days of first acceptance, as described in Section 17.6.
ProxChart is a Chrome browser extension that adds voice chat rooms to TradingView charts. Users are auto-grouped into rooms by the financial instrument ("ticker") shown on their chart. Within each room, users can choose to (a) Spectate (listen to live audio), or (b) Speak (publish their own audio). Voice transmission is operated through the LiveKit Cloud platform; user presence and metadata are stored in Google Firebase.
The Service is provided as-is, in active development, and may be modified, suspended, or discontinued at any time without notice.
You must be at least 18 years old to use ProxChart. By accepting these Terms, you represent and warrant that you are 18 years of age or older. ProxChart is not directed to children under 13 and does not knowingly collect information from anyone under 13. If we learn we have collected information from a person under 13, we will delete it.
You must also have the legal capacity to enter into a binding agreement in your jurisdiction. If you accept these Terms on behalf of a business or other entity, you represent that you have authority to bind that entity.
Access to the Service is gated by an invite code distributed by ProxChart at our discretion. Invite codes are personal and non-transferable. You agree:
When you redeem an invite code, the Service derives a stable user identifier from it. This identifier ties your conduct on the Service back to the code, and through it, to the person who originally received the code via the proxchart.live waitlist.
Your use of the Service is governed by our Acceptable Use Policy ("AUP"), available at proxchart.live/aup, which is incorporated into these Terms by reference. The AUP describes prohibited conduct (including but not limited to harassment, hate speech, market manipulation, sharing material non-public information, doxxing, impersonation, and recording without consent). Violation of the AUP is a material breach of these Terms.
We may, in our sole discretion and without notice or liability:
The Service hosts live, real-time voice from other users. ProxChart does not pre-screen, monitor, edit, endorse, or take responsibility for any content transmitted by users. You acknowledge that you may encounter content that is offensive, inaccurate, misleading, fraudulent, or otherwise objectionable.
By speaking in a ProxChart room, you grant ProxChart and other users in your room a non-exclusive, worldwide, royalty-free license to receive, transmit, and reproduce your voice for the purpose of operating the Service. You retain all other rights to your speech.
ProxChart claims no ownership of user content but reserves the right to remove any content for any reason and to use anonymized aggregate data for product improvement.
ProxChart does not record voice conversations by default. ProxChart may record portions of voice conversations only in the following circumstances:
(a) Marketing or social media content, with prior in-room consent from speakers featured;
(b) Live-streamed events or "guru rooms" where recording is disclosed in advance to all participants;
(c) Safety and moderation review of conversations the subject of a user report or law enforcement request, retained only for the duration necessary.
Other users in your room may also record their conversations, including with third-party tools, screen recorders, or devices. ProxChart does not control and is not responsible for recording by other users. You acknowledge that you have no expectation of privacy in voice rooms. Speak accordingly.
You are responsible for complying with applicable laws regarding recording and consent in your jurisdiction. Some U.S. states require all-party consent to record. By participating in a ProxChart voice room, you provide consent under these Terms for any recording covered by sub-sections (a), (b), or (c) above.
ProxChart is not a registered broker-dealer, investment advisor, or financial planner. ProxChart does not provide investment advice, recommendations, or solicitations to buy or sell any security, commodity, cryptocurrency, or other financial instrument.
All voice content on ProxChart is user-generated and represents the personal opinions of individual users. ProxChart does not endorse, verify, or guarantee any statement made by any user, including statements about specific tickers, market direction, trade ideas, performance, qualifications, or affiliations.
You acknowledge and agree:
ProxChart is a social platform, not a financial service. Use it accordingly.
Our collection and use of personal information is described in the Privacy Policy at proxchart.live/privacy, incorporated into these Terms by reference. By using the Service, you agree to that policy.
The ProxChart name, logo, extension, website, and underlying software are owned by Jacob Denbrock and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works of ProxChart software, except as expressly permitted by these Terms or applicable law.
You retain ownership of your voice and any content you create, subject to the limited license in Section 5.
ProxChart relies on third-party platforms including but not limited to:
ProxChart does not control these services, and they are governed by their own terms of service and privacy policies. Outages, errors, or data practices of these third parties are not the responsibility of ProxChart.
We may modify the Service or these Terms at any time. Material changes to the Terms will be communicated by:
Your continued use of the Service after a material change constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and uninstall the extension.
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms or the AUP. Upon termination:
You may stop using the Service at any time by uninstalling the extension. If you wish to delete your data, contact privacy@proxchart.live.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION.
WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:
YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PROXCHART, JACOB DENBROCK, OR THEIR AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, LOSS OF BUSINESS, EMOTIONAL DISTRESS, OR FINANCIAL LOSSES (INCLUDING TRADING LOSSES), ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID PROXCHART IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
You agree to defend, indemnify, and hold harmless Jacob Denbrock and ProxChart, and their respective officers, directors, employees, agents, affiliates, and licensors, from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
(a) Your use or misuse of the Service; (b) Your violation of these Terms or the AUP; (c) Your violation of any third-party right, including intellectual property, privacy, or publicity rights; (d) Your voice content and any consequences of speech you transmit through the Service; (e) Any trading, investment, or financial decisions you or others make based on Service content; (f) Any recording you make of voice content from the Service.
We reserve the right to assume the exclusive defense of any matter subject to indemnification, in which case you will cooperate with our defense.
ProxChart is an interactive computer service as defined in Section 230 of the Communications Decency Act, 47 U.S.C. § 230. Voice content transmitted through the Service is provided by users, not by ProxChart. ProxChart disclaims any role as a publisher or speaker of user content, and you agree that ProxChart is shielded from liability for user content to the maximum extent provided by Section 230 and any other applicable law.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Before filing any formal claim, you agree to first contact us at legal@proxchart.live with a written description of the dispute. We will attempt in good faith to resolve the dispute within 60 days.
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") will be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (or, if you are not a consumer, its Commercial Arbitration Rules), as modified by these Terms. Arbitration will be conducted in Davidson County, Tennessee unless you and ProxChart agree otherwise. The arbitrator's decision is final and may be entered as a judgment in any court of competent jurisdiction.
YOU AGREE THAT ANY DISPUTE WILL BE RESOLVED ON AN INDIVIDUAL BASIS, AND NOT AS A CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION. You waive any right to participate in a class action against ProxChart. The arbitrator may not consolidate claims with those of other users.
Notwithstanding Section 17.2, either party may bring an action in small-claims court or seek injunctive relief in court to protect intellectual property rights. Section 230 disputes may also be brought in court if arbitration is not available under applicable law.
If the class-action waiver in Section 17.3 is found unenforceable, the remainder of Section 17 will remain in effect. If any other portion of Section 17 is found unenforceable, that portion will be severed and the remainder will continue to apply, except that if Section 17.3 is held unenforceable, all of Section 17 is null and void.
You may opt out of the arbitration provisions in Section 17 by sending written notice to legal@proxchart.live within 30 days of first accepting these Terms, with the subject line "Arbitration Opt-Out" and stating your invite code or stable user ID. If you opt out, neither you nor ProxChart will be bound by Section 17, and disputes will be resolved in the courts of competent jurisdiction in Davidson County, Tennessee.
These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles. Subject to Section 17 (arbitration), any action arising from these Terms must be brought exclusively in the state or federal courts located in Davidson County, Tennessee. You consent to personal jurisdiction in those courts.
19.1 Entire agreement. These Terms, together with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and ProxChart regarding the Service and supersede any prior agreements.
19.2 Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in effect.
19.3 No waiver. Our failure to enforce any right or provision is not a waiver of that right.
19.4 Assignment. You may not assign these Terms without our written consent. We may assign these Terms without restriction.
19.5 Notices. Notices to you may be made via email (if we have your email), in-extension notification, or by posting at proxchart.live. Notices to us must be sent to legal@proxchart.live.
19.6 Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control, including acts of God, internet outages, third-party service failures, government actions, or natural disasters.
19.7 Headings. Headings are for convenience only and do not affect interpretation.
19.8 Survival. Provisions that by their nature should survive termination (including Sections 5, 6, 7, 9, 13, 14, 15, 16, 17, 18) survive.
